1. Agreement
These Terms of Service (these "Terms") govern your access to and use of the online platform, broker portal, and related services (collectively, the "Platform") operated by Pigeon Underwriting, LLC ("Pigeon," "we," "us," or "our"). By accessing or using the Platform, you ("User," "you") agree to be bound by these Terms. If you do not agree, do not use the Platform.
If you are using the Platform on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.
2. Eligibility
The Platform is available only to:
(a) Licensed insurance producers (brokers and agents) authorized to transact the applicable lines of business in the relevant jurisdictions;
(b) Named insureds and their authorized representatives on active or prospective policies; and
(c) Other persons authorized by Pigeon in writing.
You represent that you meet the applicable eligibility requirements and that all information you provide is accurate and current.
3. Account Registration
3.1 Accounts
To use certain features of the Platform, you must create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
3.2 Notifications
You agree to promptly notify us of any unauthorized access to or use of your account.
3.3 Accuracy
You agree to provide and maintain accurate, current, and complete account information.
4. Use of the Platform
4.1 Permitted Use
You may use the Platform solely for the purpose of:
(a) Submitting, quoting, binding, and managing insurance applications and policies through Pigeon;
(b) Viewing policy documents, quotes, binders, certificates, and other materials;
(c) Communicating with Pigeon regarding submissions, policies, and claims;
(d) Such other purposes as Pigeon authorizes in writing.
4.2 Prohibited Use
You shall not:
(a) Use the Platform for any unlawful purpose or in violation of any applicable law or regulation;
(b) Submit false, misleading, or fraudulent information;
(c) Attempt to gain unauthorized access to any part of the Platform, other users' accounts, or any systems or networks connected to the Platform;
(d) Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or data models underlying the Platform;
(e) Scrape, crawl, or use automated means to access the Platform without our written consent;
(f) Use the Platform to develop competing products or services;
(g) Interfere with or disrupt the Platform or the servers or networks connected to it;
(h) Remove, alter, or obscure any proprietary notices on the Platform;
(i) Share your account credentials with unauthorized persons or allow others to use your account.
5. Intellectual Property
5.1 Pigeon's IP
The Platform and all content, features, functionality, software, algorithms, models (including PigeonNet), data compilations, user interfaces, designs, trademarks, and other intellectual property embodied in or displayed on the Platform are owned by Pigeon or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
5.2 Limited License
Subject to these Terms, Pigeon grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for its intended purpose. This license does not include any right to sublicense, modify, adapt, create derivative works from, or commercially exploit the Platform.
5.3 Your Content
You retain ownership of the content you submit through the Platform (applications, SOVs, documents, communications). By submitting content, you grant Pigeon a non-exclusive, royalty-free license to use, process, store, and analyze such content for the purpose of providing our insurance services, operating and improving the Platform, and complying with legal and regulatory obligations. This license survives termination of your account to the extent necessary for Pigeon to administer in-force policies and comply with retention obligations.
5.4 Feedback
If you provide Pigeon with feedback, suggestions, or ideas regarding the Platform, you grant Pigeon a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without obligation to you.
6. Insurance Disclaimers
6.1 Not Insurance Advice
The Platform is a tool for submitting and managing insurance applications and policies. Nothing on the Platform constitutes insurance advice, coverage opinions, or guarantees of coverage. Users should consult with their own licensed insurance advisor regarding their coverage needs.
6.2 Quotes and Indications
Quotes and indications provided through the Platform are subject to underwriting review and approval. A quote is not a binder and does not constitute a commitment to provide coverage. Coverage is bound only when Pigeon issues a written binder or bind confirmation.
6.3 Policy Terms Control
In the event of any conflict between information displayed on the Platform and the terms of an issued insurance policy, the policy terms control.
7. AI-Assisted Processing
7.1 Disclosure
Pigeon uses artificial intelligence in its operations, including for document extraction, submission triage, and risk assessment. AI-assisted processing is subject to human review.
7.2 Accuracy
While we strive for accuracy in AI-assisted processing, you are responsible for reviewing and confirming the accuracy of any information extracted or generated by our AI tools. Please report any errors promptly.
8. Payment Terms
8.1 Payment Processor
Premium payments, fees, and other amounts due through the Platform are processed by Stripe, Inc. ("Stripe"). By submitting payment information, you also agree to Stripe's terms of service and privacy policy. Pigeon does not store full payment card numbers or security codes on our own servers; card data is collected and retained by Stripe in accordance with PCI DSS.
8.2 Amounts Due
You are responsible for paying all premium, taxes, surplus lines stamping fees, broker fees, and other amounts that apply to policies you bind or administer through the Platform. Amounts due, payment schedules, and grace periods are governed by the applicable policy, binding agreement, or invoice.
8.3 Late Payment
Failure to pay amounts owed when due may result in suspension of Platform access, cancellation of coverage (subject to the terms of the applicable policy and applicable state law), referral to a collections process, and assessment of interest, late fees, or return-premium offsets.
8.4 Platform Access Fees
Pigeon does not currently charge a separate subscription fee for Platform access. If we introduce Platform access fees in the future, we will notify you in advance as provided in Section 9.2.
9. Availability and Modifications
9.1 Availability
We use reasonable efforts to keep the Platform available but do not guarantee uninterrupted access. The Platform may be unavailable due to maintenance, updates, or circumstances beyond our control.
9.2 Modifications
We may modify, update, or discontinue any feature of the Platform at any time. Material changes to these Terms will be communicated through the Platform or by email at least thirty (30) days before they take effect.
10. Limitation of Liability
10.1 Disclaimer
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIGEON DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10.2 Limitation
SUBJECT TO SECTION 10.4, AND TO THE MAXIMUM EXTENT PERMITTED BY LAW, PIGEON'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID TO PIGEON IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) TWENTY-FIVE THOUSAND DOLLARS ($25,000).
10.3 Exclusion
SUBJECT TO SECTION 10.4, AND IN NO EVENT SHALL PIGEON BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, WHETHER OR NOT PIGEON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
10.4 Exceptions
The limitations and exclusions in Sections 10.1, 10.2, and 10.3 do not apply to, and will not limit:
(a) Your payment obligations under Section 8 (Payment Terms) or under any applicable insurance policy, binder, or invoice;
(b) Your obligations under Section 11 (Indemnification);
(c) Your violation of Section 4.2 (Prohibited Use) or Section 5 (Intellectual Property);
(d) Either party's liability for fraud, gross negligence, or willful misconduct;
(e) Either party's breach of its confidentiality obligations, misuse of the other party's confidential information, or violation of applicable data-protection or privacy laws; and
(f) Any liability that cannot be limited or excluded under applicable law.
11. Indemnification
You agree to indemnify, defend, and hold harmless Pigeon and its members, managers, officers, employees, and agents from any third-party claims, losses, damages, liabilities, and expenses (including reasonable attorneys' fees) arising from: (a) your misuse or unauthorized use of the Platform; (b) your violation of these Terms; (c) your violation of any law or third-party right; or (d) any content you submit through the Platform that is inaccurate, misleading, or unlawful.
This indemnification obligation does not apply to the extent a claim arises from Pigeon's gross negligence, willful misconduct, or material breach of these Terms.
12. Termination
12.1 By You
You may close your account at any time by contacting us. Closing your account does not affect any in-force policies or pending submissions.
12.2 By Pigeon
We may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. We will endeavor to provide notice except in cases of suspected fraud, unauthorized access, or legal or regulatory necessity.
12.3 Survival
Sections 5 (IP), 6 (Disclaimers), 8 (Payment Terms, as to amounts accrued prior to termination), 10 (Limitation of Liability), 11 (Indemnification), and 13 (Governing Law) survive termination.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of the State of Florida, without regard to conflict of laws principles.
13.2 Dispute Resolution
Any dispute arising out of or relating to these Terms shall be resolved through mediation in Tampa, Florida, followed (if unresolved within 60 days) by binding arbitration under JAMS Comprehensive Arbitration Rules in Tampa, Florida, before a single arbitrator.
13.3 Jury Waiver
EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL.
13.4 Class Action Waiver
ALL CLAIMS MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.
14. General
__Entire Agreement: __These Terms, together with our Privacy Policy and any applicable agreements (such as a Broker Appointment Agreement), constitute the entire agreement between you and Pigeon regarding the Platform.
__Severability: __If any provision is unenforceable, the remainder continues in effect.
__Waiver: __Failure to enforce any provision is not a waiver of that provision.
__Assignment: __You may not assign your rights under these Terms. Pigeon may assign to an affiliate or successor.
__Notices: __We may provide notices through the Platform, by email to the address associated with your account, or by any other reasonable means.
